Majority shareholder of "Roman" increases its stake to 91.86%

The Board of Administration of "Roman" summoned a General Extraordinary Shareholder Assembly on February 15th. The shareholders are expected to vote on the final proceedings for boosting the company"s share capital by 6,244,800 lei, by issuing a number of 2,497,920 shares, as decided during the extraordinary shareholder meeting of October 19th 2009 and the filing of the share capital increase with the Trade Registry of Braşov and with the Romanian Securities Commission. The newly issued shares will be owned by majority shareholder "Pro Roman" SA, which subscribed and paid in all the amount it was required. No other shareholders subscribed the newly issued shares within the required delay of one month from the publication of the decision of the shareholders. The share capital increase was published in the Official Gazette of October 19th 2009, in the Official Gazette.

Following this share capital increase, "Pro Roman" SA will own a 91.86% stake in Roman SA, with a contribution of 283,419,892.5 lei, the Authority for State Assets Recovery will own 2.92%, with various other shareholders controlling 5.21%.

In H1 2009, turnover of the company dropped 80.6% YOY, from 93.52 million lei to 18.11 million lei, according to the financial statement the company sent to the Bucharest Stock Exchange.
