Mecanica Ceahlau To Modify Constitutive Act

The Administrative Council of Piatra Neamt-based company Mecanica Ceahlaul Proposed the modification of several articles in the company"s constitutive act. These are related to the company"s main field of activity, the activity and attributions of the Shareholders General Ordinary and Extraordinary Meetings, and other legal issues.

According to these modifications, the company"s main field of activity is manufacturing agriculture and forestry machinery and equipment, while secondary activities range from cereal cultivation to ambulatory medical assistance.

The Ordinary General Meeting will be held at least once a year and will be bound to analyze the annual financial situations, to choose or revoke AC members and the financial auditor, to decide the remuneration of AC members and directors and to establish the company"s budget.

The EGA will be held whenever it becomes necessary to make decisions regarding the company"s legal status, headquarters, field of activity, subsidiaries, share capital increase or decrease, mergers or divisions, etc. As far as the Administrative Council is concerned, it will consist of five administrators with five-year mandates and with the possibility of their removal.

The EGM of shareholders scheduled for March 24th will make a decision regarding the proposal to modify the constitutive act. March 30th is the registration date for shareholders who will benefit from the EGM decisions.
