Businessman Ştefan Vuza, who owns a controlling interest in "Someş" Dej, and plans to build a renewable energy unit in Dej, is not concerned by his disagreement with two of the company"s shareholders, which he says is simply "much ado over nothing". According to the two shareholders, Vuza"s plans "have a shaky foundation".
Electricity producer A6 Impex of Dej, which is also owned by Ştefan Vuza, is set to complete a EUR 16 million in Dej, in a unit which will produce renewable energy, but two of the shareholders of "Someş" ("MC Commodities Vienna" and SIF "Banat Crişana") are contesting the decisions of the General Shareholders" Assembly, by which "Someş" sold several plots of land to A6 Impex.
Officials of "MC Commodities Vienna" said: "Both SIF Banat Crişana, and MFC Commodities GmbH, who own 13.1193% and 9.7984% of the share capital of Someş SA, have challenged the decision of the latter to sell the plots of land, which are most likely intended to be used for the construction of the energy production unit, to A6 Impex, as well as whether the shareholders of Someş, A1 Impex and A4 Impex, had the right to vote on this issue during the Shareholders" General Assembly of December 7th".
Ştefan Vuza said: "A6 has been operating for years, it has its own land, its own assets, through irrevocable decisions, and by summer end it will begin generating renewable energy. The current disagreements revolve around other plots of land, and they don"t affect the operation of A6 in any way, they will simply increase its assets".

Ştefan Vuza said he accepts the right of every shareholder to challenge the decisions of the General Shareholders" Assembly and that he is waiting for the decision of the court.
"In my case, the moment I was notified of the lawsuit, I double-checked with my attorneys whether we were at fault in any way, and following our review, we found that our actions were perfectly legal and we are convinced we are going to win in court. I think it"s much ado over nothing!", he said.
However, he has considered the opposite situation: "We have also pondered what would happen if we were to lose in court and the decision of the General Shareholders" Assembly were invalidated, and that would work for us as well ...After all, we would be getting our money back, and this a good time to have cash on hand!"
Since he is out of the country at the moment, Ştefan Vuza hasn"t met the parties challenging the decision of the General Shareholders" Assembly. "I think there is something else at stake here, but as I am out of the country right now, I can"t meet them yet, but I will see them later and we will be partners again! We were a team so far and we were very happy working together", the business man added.
The General Shareholders" Assembly of "Someş" Dej, of December 7th, 2009, approved the sale of a plot of land of 1,325sqm for 66,700 lei.
Martin Müller-Römheld, the officials of MC Commodities Vienna, said: "The officials of Someş was that the approximately EUR 35,000 earned from the sale would provide the company with much needed cash. Just to put this into perspective, it bears mentioning that this is less than 4% of what Someş spends each month to buy cellulose from its suppliers".
