The Management Board of insurer Asirom Bucharest, listed on Rasdaq, has proposed to shareholders a revocation of the EGM decision of December 4th 2006 and a 55 million RON increase in share capital. The General Meeting of shareholders will be held on May 28th.
In the EGM held on December 4th 2006, shareholders approved a 45,5 million RON increase in share capital, the equivalent of 13 million EUR. Minority shareholders QVT Fund, Clairmont Holdings and Catalin Moise contested the decision in court.
Asirom announced on Friday its intention to increase share capital by 954.060 RON, the amount comong from the Ministry of Public Finance. The company will issue 9,54 million shares, which will go to AVAS.
Presently, the company has a share capital of 64,74 million RON, divided into shares with a face value of 0,1 RON. The significant shareholders are Interagro (49,2631%), Broadhurst Investments Ltd. (14,71%) and the Authority for Stare Assets Recovery (7,75%).
