Last week, representatives of the Romanian state initialed the stake that Liviu Dragnea and the PSD gave to the Dutch at Damen Holding BV in 2018, when they took the money for 49% of the shares of the DMHI Mangalia Shipyard and kept 51% of the shares that they gave to a tiny company, with almost full state capital - Şantierul Naval 2 Mai Mangalia - which is listed on the Bucharest Stock Exchange.
In the November 28 meeting of the General Assembly of Shareholders of the 2 Mai Mangalia Shipyard, which are actually representatives of the state that owns, through the Ministry of Economy, Entrepreneurship and Tourism, 93.8878% of the company, the termination of the association agreement concluded on November 9, 2018 between the company and Damen Holding BV was approved, although the Dutch company notified the state as early as August last year that it was leaving the Mangalia shipyard, and moreover, at the end of May 2024, it filed for bankruptcy of the shipyard in question. There is also a case pending before the Vienna International Arbitration Court in which the Damen company is seeking compensation from the Romanian state.
Regarding Thursday's decision, Laurenţiu Gobeajă, president of the Free Navalistul Union, told us: "The union anticipated this possibility regarding the termination/termination of the association contract between the two shareholders of DSMa. The minority shareholder, Damen, sent a notification in this regard as early as August 2023 regarding the intention to conclude this partnership, and since then, the two shareholders have tried, without success, to find solutions for the continuation of the collaboration. In the end, it was concluded that this partnership must end. The approval of the termination of the contract is only one stage in this process. In the coming period, we will find out whether the Romanian state will exercise the right of pre-emption to take over the 49% of DSMa shares held by Damen or, if it does not opt for this right, Damen will be able to sell the shares to another interested investor. The next stage will consist of trading the shares, after clarifying the claim for compensation sent by Damen to the majority shareholder, as well as the remedial notification recently sent by SN 2Mai SA to Damen. The two shareholders must reach an agreement on the claims, and this can be resolved through direct negotiation or in court, given that a process is already underway at the Vienna Court of Arbitration. It is vital that these steps are completed quickly, in order to facilitate the urgent implementation of a reorganization plan that will ensure the resumption of the shipyard's activity. Only through this approach will the company be able to recover and emerge from insolvency. We appeal to DSMa shareholders and political decision-makers to adopt urgent measures to resolve this crisis, in order to save an essential shipyard for the Romanian shipbuilding industry, a strategic objective of national interest".
The President of the Free Navalistul Union also points out that the DSMa shipyard is the main employer in the area and its fate influences the entire community, and any postponement of resolving the current situation may further aggravate the crisis the company is facing.
We also tried to find out the opinion of the representatives of the Damen company regarding the decision taken by the Romanian state, but they told us that for now the respective company has nothing to declare, its point of view having been transmitted to the Romanian state since August 2023.
